Service Credit Terms

These Service Credit Terms (“Credit Terms”) are a binding legal agreement between you (“You” or “Customer”) and Emcie Co Ltd. (“Company”), and govern your purchase, receipt and/or use of any credit redeemable for Company’s Service (“Service Credit”).

By creating an Account and/or by otherwise accessing or using the Service, You accept these Credit Terms on behalf of yourself (if You are an individual) or of the company or any other organization that You represent, and - as applicable - You agree to be bound by these Credit Terms or You represent and warrant that You have full authority to bind the company or organization that You represent to these Credit Terms. If You do not agree as aforesaid, or are not authorized as aforesaid, You may not access or use the Service and You must refrain from creating an Account.

Capitalized terms used but not defined in these Credit Terms have the meanings set forth in the agreement between Customer and Company governing Customer’s use of the Service, which includes the Terms of Service and other documents incorporated into it by reference (the “Agreement”).

These Credit Terms are an addendum to, and are incorporated by reference into, Company’s Terms of Service. In the event of a conflict between these Credit Terms and the Terms of Service or any separate written agreement with Company governing your use of the Service, these Credit Terms shall prevail solely with respect to Service Credits. For the avoidance of doubt, the dispute resolution mechanism in the Terms of Service shall apply to any dispute arising out of or related to these Credit Terms.

  1. Payment for the Service is made in advance, through purchase of credits (“Prepaid Service Credits”). Prepaid Service Credits represent the amount Customer has paid in advance for use of the Service.

  2. Details concerning the usage entitlements per Prepaid Service Credits, and prices therefor, are provided in the Documentation, and may be amended from time to time by Company in its sole discretion.

  3. Company may offer Service Credits free of charge as part of a promotional program rather than for purchase (“Promo Service Credits”). Promo Service Credits will not be applied against any sales, use or similar transaction-based taxes that may be applicable to Customer.

  4. Service Credits are not legal tender or currency, are not redeemable, refundable or exchangeable for any sum of money or monetary value; they do not constitute or confer upon Customer any personal property right. Service Credits are non-transferable and may be used only in connection with the Service.

  5. SERVICE CREDITS ARE NOT REFUNDABLE AND EXPIRE ONE (1) YEAR AFTER THE DATE OF PURCHASE OR ISSUANCE IF NOT USED, UNLESS OTHERWISE SPECIFIED AT THE TIME OF PURCHASE.

  6. Customer’s available Service Credit balance may be reviewed in Customer’s Account. Customer is responsible for verifying that the proper amount of Service Credits has been added to or deducted from Customer’s balance. Customer’s Service Credit balance is not a bank account, digital wallet or other payment device.

  7. Company prohibits and does not recognize any purported transfers, sales or gifts of Service Credits. Evidence of any attempt to do so violates these Credit Terms and may result in revocation, termination or cancellation of the Service Credits and/or Customer’s use of the Service without refund and/or immediate suspension or termination of Customer’s Account.

  8. Company reserves the right to suspend or terminate Customer’s Service Credit balance, in compliance with applicable law.

  9. All prices indicated for Service Credits are in US Dollars and exclusive of any and all taxes, levies and duties required by applicable law (collectively “Taxes”). Customer is responsible for paying, and will be charged on top of the prices indicated for Service Credits, all Taxes associated with its purchase of Prepaid Service Credits. The name and address in the Account will be used as the place of supply for tax purposes. Company is solely responsible for Company’s income tax.

  10. Unless agreed otherwise between Company and Customer, payments must be made by Customer in a single installment by credit card, a digital billing platform or wire or bank transfer. Per each purchase of Prepaid Service Credits Company shall issue an invoice.

  11. These Credit Terms may be modified by Company from time to time, by posting an updated version thereof on the Website. Customer is responsible for regularly reviewing the most current version thereof. When modified - Company will update the “Last Updated” date stated on it. By continuing to use the Service after the effective date of any such modification, Customer will be deemed to have accepted such modification.
